Welcome to Impact BPO. These Terms of Service (“Terms”) explain how we operate and what you can expect when working with us. By using our website or our services, you agree to these Terms.

1. What We Do

Impact BPO (“we,” “our,” or “us”) helps U.S.-based companies build, manage, and scale remote 
teams across Latin America.

We provide outsourcing and Employer of Record (EOR) services that include:

  • Recruiting, onboarding, and managing LATAM-based professionals.
  • Handling payroll, HR administration, and compliance
  • Providing secure office facilities and IT support when needed.
  • Offering outsourced operations for customer support, back-office, accounting, legal, real 
estate, and professional services.


Our goal is to make it easy for clients to access qualified talent while we handle compliance, 
management, and day-to-day administration.

2. How Our Services Work

Each partnership is defined by a separate Service Agreement outlining pricing, headcount, and
any additional requirements such as custom setups, facilities, or integrations.


We operate with transparency and professionalism, always acting in good faith and with best 
efforts to deliver an excellent experience. However, because every engagement involves 
people and unique circumstances, we cannot guarantee that every team member will be a 
perfect fit. What we do guarantee is our full commitment to client satisfaction, open 
communication, and timely resolution of any issues.

3. Client Responsibilities

Clients may need to provide access to systems, training materials, or other resources necessary
to enable our teams to perform effectively.
 It is understood that delays or limited access on the client’s end may impact performance 
outcomes.

4. Fees and Payment

Our pricing is based on the number of team members (“headcount”) and the project scope.

  • Invoices are issued by the 27th of each month.
  • Payment is due by the 5th of the following month to ensure smooth payroll 
processing.
  • If payments are delayed, late fees or temporary suspension of service may apply.


Any additional costs related to specialized setups, equipment, or facility use will be agreed upon
before implementation.

5. Confidentiality and Data Security

Both parties agree to protect all confidential information shared during the course of business.
Impact BPO maintains secure, access-controlled facilities and follows strict data-protection 
measures to ensure client and employee information remains safe.


We may use trusted third-party software (e.g., project management, communication, or HR 
platforms) to provide our services. These tools comply with their own data and privacy 
standards.

6. Risk and Liability

As Employer of Record, Impact BPO assumes responsibility for payroll, HR, and compliance for 
all assigned personnel.
Clients are responsible for providing appropriate direction, tools, and guidance to the staff 
operating within their business environment.


We strive to make our service as risk-free as possible. However, we are not liable for indirect, 
incidental, or consequential damages resulting from use of our services.


7. Termination

AThe termination process and notice period depend on the investment level, project size, and 
infrastructure setup involved in each engagement.
Specific terms are outlined in each Service Agreement.


In all cases, we encourage open communication and cooperation to ensure smooth transitions 
or handovers when services are paused or concluded.

8. Updates to These Terms

We may update these Terms periodically. If significant changes are made, we will post the 
updated version here and provide at least 30 days’ notice before they take effect.
Continuing to use our services after that notice period means you accept the updated Terms.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws stated in each individual Service Agreement.
We always aim to resolve disputes amicably and in good faith before pursuing any formal 
proceedings.
